Terms of services

These Terms govern your use of Ursus themes, our website, our theme documentation, and our support.

Our themes and related services (the "Services") are provided by Ursus Ecom, a company registered in Vietnam ("Ursus," "we," "us," or "our"). "You" means the person or business using our Services.

By purchasing or using an Ursus theme, or by accessing or using our website, documentation, or support channels, you agree to these Terms. If you use the Services on behalf of a business, you confirm that you have authority to bind that business to these Terms.

If you don't agree to these Terms, don't access or use the Services.

Our relationship with Shopify

Ursus themes are sold exclusively through the Shopify Theme Store. Shopify processes theme purchases and administers the related payment, billing, and theme-licensing processes.

Your purchase and use of an Ursus theme are also subject to Shopify's Terms of Service and any other Shopify terms that apply to the Shopify Theme Store or your Shopify account.

Where these Terms conflict with Shopify's terms on a matter administered by Shopify, including theme purchases, payments, refunds, licence scope, or licence transfers, Shopify's terms apply to that matter.

Ursus is an independent theme developer. Nothing in these Terms creates a partnership, agency, employment, or joint-venture relationship between Ursus and Shopify.

Theme licence

Shopify determines and administers the licence attached to a theme purchased through the Shopify Theme Store, including the stores on which the theme may be used and whether a licence may be transferred.

We don't impose a separate theme licence that expands or replaces the licence provided through Shopify, and we can't approve a transfer or issue a replacement licence on Shopify's behalf.

Payments and refunds

Shopify processes payments for theme purchases made through the Shopify Theme Store. Ursus doesn't receive or process your payment details and can't issue a refund directly.

Paid themes purchased through the Shopify Theme Store are generally treated by Shopify as final-sale transactions. Any refund request or billing issue must be submitted to Shopify and will be handled under Shopify's applicable terms and policies.

Nothing in this section limits any refund or consumer right that can't lawfully be excluded.

Theme updates

Updates are made available to customers who hold a valid licence for the relevant theme. No additional theme purchase is required solely because an available update is identified as a major version.

However:

  • Themes and their features may change over time as we improve them or adapt them to changes in Shopify's platform.
  • We don't guarantee that a particular feature will remain available indefinitely or that updates will be released on a fixed schedule.
  • Shopify may change its platform, requirements, distribution methods, or update process independently of Ursus.
  • Installing an update may replace theme files. Custom code and third-party modifications might not carry forward automatically and may need to be reapplied or adapted.
  • You are responsible for backing up your theme and reviewing and testing an update before publishing it to a live store.

We may stop updating a theme if it is discontinued, removed from the Shopify Theme Store, or can no longer reasonably be maintained. Where reasonably practicable, we will provide appropriate notice through our website, documentation, or another suitable channel.

Support

We provide support as described in our Support Policy, which sets out what support covers, what falls outside it, our support hours, and our response-time targets.

Support is provided on a reasonable-efforts basis. A response-time target applies to our first reply and isn't a commitment to resolve an issue within that period.

We may limit or decline support when:

  • A request falls outside the scope of our Support Policy
  • The issue is caused by custom code, a third-party app or service, or a change made by someone other than Ursus
  • The theme isn't validly licensed for the store requesting support
  • A person misuses our support channels or communicates with our team in an abusive, threatening, harassing, or discriminatory manner

Ursus Services

Ursus offers paid Services, including design, customisation, setup, and development work. These Services are separate from a theme purchase and are not included in the price of a theme.

Every project starts with a review of your requirements, scope, and availability. Submitting a request does not guarantee that we will be able to take on the project. We may decline a request if it falls outside our capabilities or Services, isn't a suitable fit, or we don't have the capacity to take it on at that time.

A project is only considered accepted once we confirm the relevant scope, pricing, and next step.

You're also free to modify your own copy of a theme, or to engage any developer to do so. Any arrangement you enter into with another developer is between you and them. We aren't a party to it, we don't warrant the work, and we can't support custom code produced under it.

Intellectual property

Ursus themes, including their design, source code, and documentation, are our intellectual property or that of our licensors.

What your licence gives you: the right to use a theme on a licensed store, and the right to modify your own copy of that theme for use on that store.

What it doesn't give you: ownership of the theme. Your licence doesn't permit you to redistribute, resell, sublicense, or publish the theme or its source files, and modifications you make don't transfer ownership of the underlying theme to you.

Third-party apps and services

Our themes use Shopify platform features and may be used alongside apps, scripts, integrations, fonts, media, and other services provided by third parties under their own terms.

We don't control third-party services or test our themes with every service available. Unless we expressly state otherwise, we don't guarantee that an Ursus theme will be compatible with a particular third-party service or remain compatible after that service or Shopify changes.

Your use of a third-party service is between you and its provider. You are responsible for reviewing its terms, privacy practices, fees, licences, and technical requirements before using it.

Your responsibilities

You are responsible for:

  • Your Shopify store, products, content, configuration, operation, and security
  • Testing a theme, update, customization, or third-party integration before publishing it
  • Maintaining appropriate backups of your theme and store materials
  • Ensuring that you have the rights and permissions needed for content, fonts, images, videos, code, and other materials used on your store
  • Complying with the laws and regulations that apply to your business, including consumer-protection, privacy, marketing, tax, and accessibility requirements
  • Keeping any information you provide to us accurate and avoiding unnecessary disclosure of personal information belonging to other people

We don't provide legal, tax, privacy, accessibility, or regulatory advice. Nothing in our themes, documentation, or support should be treated as such advice.

Acceptable use

You must not use our website, documentation, support channels, or other Services:

  • In violation of applicable law or another person's rights
  • To distribute malicious code or interfere with the security or operation of our Services
  • To gain or attempt to gain unauthorized access to systems, accounts, or information
  • To scrape, harvest, or systematically collect information from our website without our prior written permission
  • To impersonate another person or misrepresent your identity or affiliation
  • To send spam or abusive, threatening, harassing, discriminatory, or unlawful material
  • To facilitate unauthorized copying, distribution, resale, or use of an Ursus theme

We may restrict access to our website, documentation, or support channels where reasonably necessary to address a breach of this section, protect our team or Services, or comply with applicable law. This doesn't give us authority to cancel or alter a theme licence administered by Shopify.

Privacy

Our handling of personal information is described in our Privacy Policy. The Privacy Policy is separate from these Terms and may be updated as described in that policy.

Disclaimer

Our themes, website, documentation, and support are provided on an “as is” and “as available” basis.

We use reasonable efforts to keep our themes functional and compatible with supported Shopify features and to address confirmed theme defects through updates or support where appropriate.

To the fullest extent permitted by applicable law, we don't guarantee that:

  • A theme or other Service will always be available, uninterrupted, secure, or error-free
  • Every defect can or will be corrected
  • A theme will be compatible with every third-party app, service, browser, device, customization, or future Shopify change
  • A theme will satisfy every technical, commercial, legal, or accessibility requirement specific to your business
  • The use of a theme will produce a particular commercial result

Any warranties, conditions, or guarantees that can't lawfully be excluded remain unaffected.

Limitation of liability

To the fullest extent permitted by applicable law, Ursus won't be liable for indirect, incidental, special, exemplary, punitive, or consequential losses, or for loss of profits, revenue, sales, goodwill, business opportunity, or data, arising from or relating to the Services.

To the fullest extent permitted by applicable law, Ursus's total aggregate liability arising from or relating to an Ursus theme or the related Services won't exceed the amount paid for the affected theme.

These limitations apply regardless of the form of the claim, but don't limit or exclude liability that can't be limited or excluded under applicable law. They also don't affect any mandatory consumer rights available to you.

Changes to these Terms

We may update these Terms to reflect changes to our Services, business practices, Shopify's platform or requirements, or applicable law.

The “Last modified” date at the top shows when these Terms were most recently revised. If we make a material change, we will make that clear on this page or provide another appropriate notice.

The revised Terms apply from the stated effective date. They won't retroactively reduce rights already granted under a completed theme purchase unless the change is required by applicable law or results from a change administered by Shopify.

If you don't agree to revised Terms that apply to our website, documentation, or support services, you should stop using those Services.

General terms

If we don't enforce a provision of these Terms, that doesn't waive our right to enforce it later.

If a court or other competent authority finds part of these Terms invalid or unenforceable, the remaining provisions will continue to apply. The affected provision will be enforced to the maximum extent permitted by law.

These Terms, together with the policies expressly referenced in them and the Shopify terms applicable to your theme purchase and licence, form the agreement governing your use of the Services.

Governing law and disputes

These Terms are governed by the laws of Vietnam, without regard to conflict-of-law principles.

Disputes arising out of or relating to these Terms are subject to the jurisdiction of the competent courts of Vietnam, except where applicable law gives you the right to bring proceedings in another jurisdiction.

Before starting formal proceedings, you and Ursus agree to make a reasonable attempt to resolve the dispute by contacting the other party and describing the issue and requested resolution. This requirement doesn't prevent either party from seeking urgent relief or exercising a right that can't lawfully be restricted.
